Department: Accounts and Finance

  • Job Summary: As the Company Secretary, you will play a crucial role in ensuring compliance with corporate governance, legal regulations, and financial reporting standards.
  • You will provide strategic support to the Board of Directors and management, facilitating effective communication and decision-making.
  • Your expertise will be essential in managing corporate affairs and safeguarding the organization's interests.

Key Responsibilities

Corporate Governance:

  • Ensure compliance with the Companies Act, SEBI regulations, and other statutory requirements.
  • Maintain statutory registers and records, ensuring they are up to date and accurate.

Board Support

  • Assist in the preparation of board meeting agendas, minutes, and other related documentation.
  • Provide guidance to the Board on corporate governance matters and best practices.

Regulatory Compliance

  • Monitor changes in relevant legislation and ensure the company complies with all legal requirements.
  • Prepare and file necessary documents with regulatory authorities, including annual returns and financial statements.

Communication Management

  • Act as a point of contact between the Board, shareholders, and regulatory bodies.
  • Facilitate effective communication of company policies and decisions to stakeholders.

Financial Oversight

  • Collaborate with the finance team to ensure accurate financial reporting and compliance with accounting standards.
  • Assist in the preparation of financial statements and annual reports, ensuring transparency and accuracy.

Risk Management

  • Identify potential legal and compliance risks and develop strategies to mitigate them.
  • Advise the management on risk management policies and procedures.

Stakeholder Engagement

  • Manage relationships with shareholders and investors, addressing inquiries and concerns as necessary.
  • Organize and facilitate annual general meetings (AGMs) and extraordinary general meetings (EGMs).

Internal Policies

  • Develop and implement internal policies and procedures to enhance compliance and governance practices.
  • Ensure that employees are aware of compliance requirements and ethical standards.

Advisory Role

  • Provide legal advice and support on corporate transactions, mergers, and acquisitions as required.
  • Stay informed about industry trends and changes in corporate law that may affect the organization.

Team Leadership

  • Lead and mentor a team of legal and compliance professionals, fostering a culture of integrity and excellence.
  • Conduct training sessions on compliance and governance for employees at all Bachelor's degree in Law, Commerce, or a related field Company Secretary (CS) qualification is mandatory.
  • 4+ years of experience in a corporate secretarial role, preferably in the manufacturing or technology sectors.
  • In-depth knowledge of corporate laws, governance, and compliance practices.
  • Strong analytical skills and attention to detail.
  • Excellent communication and interpersonal skills, with the ability to liaise effectively with stakeholders.
  • Proficient in corporate secretarial software and Microsoft Office Suite.
