Position: Asst. Vice President – Procurement Contract Management

Function: Strategic Procurement Unit

Position will report Lead Contracts Management

The position is part of the Strategic Procurement Unit (SPU) and be dedicated Contracts management resource for all vendor contracts related to IT Services, Hardware and Software licenses, Outsourcing activities, Non-IT professional services, General Admin and other such related spend categories for the Bank.

Contract Management team is responsible for drafting, review, negotiation, execution, lifecycle management of all the procurement contracts including NDA, MSAs, Supplemental agreements/ addendums and maintaining the centralised repository of agreements

Responsibilities

• Review, draft and negotiate all standard and non-standard procurement agreements for goods and services, consulting agreements, licensing, escrow agreements, non-disclosure agreements, terms and amendments with suppliers/ service providers for all the spends under SPU purview.
• Work with Bank’s Legal team to create, maintain and review Contracting guidelines and templates for procurement activities
• Identifies business objectives of procurement/ licensing / consulting transactions, related issues, and facilitates risk/benefit analysis.
• Maintains a deep understanding of contract templates, contracts policy, legal risk and liability, and company position on various matters and keep the templates contemporary based on business needs. Provides requisite guidance for negotiating and closing the contracts that are in the best interest of the Bank
• Drafts, reviews and maintains terms & conditions to be included in RFIs, RFQs, RFPs.
• Ensure agreement compliance with internal guidelines (legal, regulatory, taxation, business model), including compliances as per legal team requirements.
• Advise on risk management, including evaluation, and mitigation related issues in all contracts and transactions
• Sound industry knowledge and understanding of RBI guidelines for Outsourcing, license agreements, professional services and product sourcing related agreements
• Translates complex commercial/legal scenarios into simple language and action plans.
• Cross team collaboration and work with various senior levels for closure of contracts
• Review and execute amendments and renewals based on business needs
• Maintain and share MIS for all executed contracts, ongoing contact negotiations and closures
  
  

Requirements

The successful candidate should

• Post-Graduate /Graduate lawyer from reputed institute with good academic credentials
• Have 6-10 years relevant professional experience preferably in similar role
• Have excellent grasp of laws relating to intellectual property rights, programming code, Banking and Financial Laws, RBI guidelines, data privacy laws, and any legal and commercial issues which may have an impact on the business and business relations of the Bank
• Demonstrate good drafting and negotiation skills, guide team while reviewing or negotiating contracts
• Be able to manage multiple priorities, work efficiently under pressure and consistently meet tight deadlines
• Be able to communicate efficiently and work with business representatives at all levels of seniority
• Proficient in MS office, Ariba CLM (preferred)
