Job Purpose
Key Accountabilities
EXTERNAL INTERACTIONS
Secretarial
COMPETENCIES
- Support in Calling, holding and convening meetings of Board of Directors, Audit Committee, Nomination & Remuneration Committee, Corporate Social Responsibility Committee ("Committee") and Shareholders Meetings including Annual General Meeting and Extra ordinary General Meeting(s).
- Maintaining statutory records and Agreements of the Company,
- Continuous monitoring of operations / managerial actions and ensuring they are compliant of statutes and corporate agreements
- Fund Raising Activities
Key Accountabilities
- Assistance in conducting the Board, Audit Committee, Nomination & Remuneration Committee, Stakeholders Relationship Committee, Corporate Social Responsibility Committee, ("Committee") meetings and Shareholders Meetings including Annual General Meeting and/ or Extra ordinary General Meeting(s).Which includes the following steps for conducting the each meeting(s) - Timely Compliances and Appropriate delivery
- Secretarial Compliances, Compliances related to foreign currency Bonds and Listed NCDs - Timely Compliances, Ensure no penalties/ late filing fees are imposed on the Company and Appropriate delivery.Timely Compliances.
- Support in Statutory and Secretarial Audit - Data provided to Auditors with in prescribed time Line.
- Support in fund raising activities - Timely Compliances and Appropriate delivery in terms of the organizational objectives
- Preparation of Annual Report / Directors Report of the Company and Website Management of the Company for Statutory requirements - Timely Compliances
- Assistance in obtaining approval for Related Party Transactions.
EXTERNAL INTERACTIONS
- Registrar & Transfer Agents etc.
- Statutory & Secretarial Auditor
- Debenture Trustee
- External Consultants for various due diligence purposes
- Finance & Accounts and operational teams
- Sector Secretarial Teams
- Secretaries of Directors and senior management
- Meeting expenditure towards conducting meetings etc. and other services which may cost up to Rs. 15 lakhs per annum
- Support provided in due diligence of GMR Group
- Necessary support provide to legal team
- B.Com. CS
- Knowledge- Basic understanding of Corporate Governance and Compliance Management Software.
- Able to navigate basic features of governance software for organizing documentation and supporting meetings
